1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the website, patient portal, mobile applications, and telehealth services (collectively, the "Services") operated by Basix For Men ("Basix," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

You must be at least 18 years of age and a resident of a state in which our affiliated healthcare providers are licensed to practice to use the Services. By using the Services, you represent and warrant that you meet these eligibility requirements.

2. Description of Services

Basix For Men operates a technology platform that connects patients with independent, licensed healthcare providers for asynchronous telehealth consultations related to men's health, including but not limited to hair loss treatment. Through the Services, you may complete health questionnaires, submit medical information, receive clinical evaluations, and — if deemed appropriate by a licensed provider — obtain prescriptions for medications.

Basix For Men is not a healthcare provider. Medical services are provided by independently licensed practitioners who contract with or are affiliated with our partner medical practice. All clinical decisions, including whether to prescribe medication, are made solely by the treating healthcare provider based on their independent medical judgment.

3. Telehealth Informed Consent

By using the Services, you acknowledge and consent to the following:

Nature of telehealth. Your consultation will be conducted through asynchronous electronic communication (written questionnaires and messaging) rather than an in-person visit. In some cases, synchronous communication (video or phone) may be offered or required.

Limitations. Telehealth has limitations compared to in-person care. A provider may determine that telehealth is not appropriate for your condition and may recommend an in-person visit, decline to prescribe, or refer you to another provider. There is no guarantee that a prescription will be issued.

Medical information accuracy. You agree to provide complete, accurate, and truthful medical information, including your medical history, current medications, allergies, and symptoms. Providing false or misleading information may result in inappropriate treatment and may endanger your health.

Emergency situations. The Services are not designed for medical emergencies. If you experience a medical emergency, call 911 or go to the nearest emergency room immediately.

Right to withdraw. You may withdraw your consent to telehealth services at any time by discontinuing use of the Services. Withdrawal of consent does not affect the legality of any services provided before your withdrawal.

4. Account Registration and Security

To use the Services, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

We authenticate access to the patient portal through email-based verification codes and, where available, Google OAuth. You are responsible for maintaining the security of the email account associated with your Basix account.

5. Orders, Payments, and Prescriptions

Pricing. Prices for treatment plans are displayed on our website and at checkout. All prices are in U.S. dollars and include the cost of your medical consultation. We reserve the right to change prices at any time without prior notice, though price changes will not affect orders already placed.

Payment. Payment is processed through our third-party e-commerce platform at the time of purchase. By placing an order, you authorize us to charge the payment method provided.

No guarantee of prescription. Placing an order does not guarantee that a prescription will be issued. If a healthcare provider determines that treatment is not appropriate for you, we will issue a full refund for that order.

Subscriptions. If you enroll in a subscription plan, you authorize us to charge your payment method on a recurring basis at the interval selected (monthly or quarterly). You may cancel your subscription at any time, and cancellation will take effect at the end of your current billing period.

Refunds. If your prescription is denied by the treating provider, you are entitled to a full refund. Refund requests for other reasons will be evaluated on a case-by-case basis. Once a prescription has been filled and shipped, we are generally unable to provide a refund for that shipment.

6. Prescription Medications

Medications prescribed through the Services are dispensed by licensed pharmacies that are independent of Basix For Men. You acknowledge that prescription medications carry risks, including potential side effects, drug interactions, and allergic reactions. You agree to read all medication guides and labeling provided with your medication.

You agree not to share, sell, or distribute any medications prescribed to you through the Services. Prescription medications are intended for the named patient only.

7. Identity Verification

As part of the onboarding process, you may be required to upload a government-issued photo ID to verify your identity. This is required to comply with telehealth regulations and to ensure that prescriptions are issued to the correct individual. Your ID will be handled in accordance with our Privacy Policy.

8. User Conduct

You agree not to: use the Services for any unlawful purpose; provide false, misleading, or fraudulent information; attempt to obtain prescriptions for anyone other than yourself; interfere with or disrupt the Services or servers; attempt to gain unauthorized access to any part of the Services; use the Services to harass, abuse, or harm any person, including healthcare providers; or reverse engineer, decompile, or disassemble any portion of the Services.

Violation of these rules may result in immediate termination of your account and, where applicable, reporting to law enforcement.

9. Intellectual Property

All content, software, designs, text, graphics, and other materials on the Services are owned by or licensed to Basix For Men and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Services without our prior written consent.

10. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any defects will be corrected.

We do not endorse or guarantee any specific medical treatment, medication, or outcome. Reliance on any information provided through the Services is solely at your own risk.

11. Limitation of Liability

To the maximum extent permitted by law, Basix For Men, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or related to your use of the Services, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claim arising out of or relating to these Terms or the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Basix For Men and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of another party.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting us at support@basixformen.com. Upon termination, your right to use the Services ceases immediately, but provisions that by their nature should survive termination (including indemnification, limitation of liability, and dispute resolution) will remain in effect.

14. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Consumer Arbitration Rules. Arbitration shall take place in Los Angeles County, California. You agree to waive any right to a jury trial or to participate in a class action.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Services prior to the changes taking effect. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms.

17. Miscellaneous

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Basix For Men with respect to the Services.
